Terms of Service

Effective: September 7, 2026 · Cuya, Inc., a Delaware corporation

These terms govern your use of Cuya — the platform, dashboard, and APIs. By creating an account or using the service, you agree to these terms. If you're using Cuya for an organization, you're agreeing on its behalf and confirming you can bind it.

1. What Cuya is

Cuya analyzes each request you send — domain, risk, privacy requirements, freshness needs — and routes it to the best-fit AI model from a catalog spanning multiple third-party providers, optimizing for answer quality at the correct price. Every response ships with a receipt: the chosen route, rejected alternatives, estimated cost, and rationale. Cuya does not itself generate the underlying AI responses; third-party model providers do, under their own terms, as described in our Privacy Policy.

2. Accounts and API keys

You need an account to use Cuya. Keep your credentials secure — you're responsible for activity under your account.
API keys are scoped instruments: per-key budgets, rate limits, model pools, and privacy policies. Protect them like passwords. You can revoke any key instantly in the dashboard.
You must provide accurate information and keep it current. One person or entity per account unless we agree otherwise.

3. Credits, plans, and billing

Credits. Cuya is prepaid: you buy credits (or receive them via a plan or invitation) and requests consume credits at the estimated cost of the routed model. The receipt for each request shows the cost applied.
Plans. Free, Plus, and Pro plans exist; paid plans include monthly usage credit and unlock additional routing capability. Plan prices and quotas are shown at checkout. Payments are processed by Stripe; we never see or store your full card number.
Renewals and cancellation. Subscriptions renew monthly until canceled. Cancel anytime from the dashboard — your plan stays active until the end of the billing period, then your account reverts to Free. No refunds for partial periods, except where required by law.
Failed payments. If payment fails, we retry and keep your entitlements briefly (grace period). If it stays unresolved, the account reverts to Free; your data and projects are kept.
Credit expiry and price changes. Purchased credits don't expire while your account is in good standing. We may change plan pricing with at least 30 days' notice before the change affects your renewal; if you don't agree, cancel before renewal.
Cost estimates. Per-request costs are estimates computed from model pricing and token counts. Actual provider charges can differ slightly; your credit burn follows the estimates shown in your receipts.

4. Acceptable use

Don't use Cuya to: break the law or infringe anyone's rights; generate content that is illegal, harmful, fraudulent, or violative of the underlying providers' usage policies; circumvent privacy policies, rate limits, budgets, or model restrictions you or your organization set; resell raw model access in violation of these terms; probe, scrape, or disrupt the service; or misrepresent that AI-generated output is human where disclosure is legally required. We can suspend or terminate accounts that violate these rules — with notice where practical, immediately where necessary.

5. AI output: read this part carefully

AI models produce plausible text, not guaranteed truth. Cuya measurably improves route selection — quality, grounding, and cost — but no routing system can guarantee that a model's output is accurate, complete, or fit for your purpose. Output is not legal, medical, financial, or other professional advice. Verify before you rely on it, especially for high-stakes decisions. You are responsible for how you use output generated through Cuya.

6. Your data and your content

You keep ownership of your prompts, documents, and data. You grant Cuya a limited license to process them to provide the service (routing, execution, context continuity, billing, and quality measurement) as described in the Privacy Policy. We don't sell your data and don't use your prompts to train foundation models. Feedback you give us (ratings, comments, suggestions) may be used to improve the service.

7. Service changes and availability

The model catalog changes continuously — models are added as providers release them and retired as providers deprecate them; that freshness is the point of the service. We work to keep Cuya available, but the service is provided "as is" and "as available"; we don't promise uninterrupted availability, and third-party provider outages are outside our control. We may change or discontinue features with notice where practical. Planned maintenance is announced on the status page.

8. Disclaimer of warranties

To the maximum extent permitted by law, Cuya and its providers disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions don't allow these disclaimers; there, they apply to the extent permitted.

9. Limitation of liability

To the maximum extent permitted by law, neither Cuya, Inc. nor its directors, employees, or providers are liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, data, or goodwill, arising from your use of the service. Our total aggregate liability for any claim related to the service is limited to the greater of (a) the amounts you paid to Cuya in the 12 months before the claim, or (b) US $100. These limitations don't apply where law forbids them (e.g., certain consumer rights).

10. Indemnification

If you use Cuya in violation of these terms or of law and that triggers a claim against us, you agree to defend and indemnify Cuya, Inc. against resulting damages, losses, and reasonable attorneys' fees. We'll notify you of the claim, and you control the defense (we can participate with our own counsel). This doesn't apply where prohibited by law or to the extent the claim arises from our own misconduct.

11. Suspension and termination

You can stop using Cuya and close your account anytime (support@cuya.ai). We may suspend or terminate access for violations of these terms, non-payment, abuse, or legal requirement — with notice where practical. On termination: your right to use the service ends; unused paid credits are refunded where required by law or our refund policy; you can request deletion of your data per the Privacy Policy. Sections that by nature survive (ownership, disclaimers, liability, indemnification, governing law) survive termination.

12. Governing law and disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes arising from these terms or the service are subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to that venue — except that either party may seek injunctive relief anywhere to protect intellectual property or confidential information, and nothing strips you of mandatory consumer protections in your place of residence.

13. Changes to these terms

We may update these terms as the service evolves. The current version is always at this URL with its effective date above; material changes get a dashboard notice (and email where we have one) before taking effect. Continued use after changes take effect means you accept them.

14. General

These terms plus the Privacy Policy are the whole agreement about your use of Cuya. If a provision is unenforceable, the rest stands. Our failure to enforce something immediately isn't a waiver. You can't assign these terms without our consent; we can assign them to a successor in connection with a merger or sale of assets, with notice.
